Wyoming LLC Taxes: One State Bill, Then the IRS Paperwork

Written by: Joanne Marsh

Wyoming LLC taxes are lighter than most people expect: per wyo.gov the state has no income tax, so the annual report license tax is the one yearly bill Wyoming sends. The real paperwork in Wyoming LLC taxes sits on the federal side, with the IRS, and it matters most when the owner lives outside the US.

If you haven't formed yet, I'd price CORPBOLT's Wyoming LLC plans first; current plans and prices are on corpbolt.com.

Two-column chart of Wyoming LLC taxes: the state side shows no income tax and the $60-minimum annual report license tax due on the first day of the anniversary month, the IRS side shows Form 5472 with a pro forma 1120 due April 15; the QR code in the corner is a referral link

What Wyoming charges: the annual license tax

The About Wyoming page on wyo.gov puts it in one line: "Unlike other states, Wyoming does not possess an individual or corporate income tax."

The one state line item in Wyoming LLC taxes is the annual report license tax. Per the Wyoming SOS fee schedule (effective July 1, 2026), it is $60 or two-tenths of one mill on the dollar ($.0002), whichever is greater, based on the company's assets located and employed in Wyoming.

Why does nearly every small LLC pay exactly $60? Divide $60 by $.0002 and you get $300,000. Below $300,000 of assets located and employed in Wyoming, the $60 floor is the larger number. Only above that line does the percentage take over.

Timing follows your formation date, not the calendar year. Per the Wyoming SOS business FAQ, the report is due on the first day of your anniversary month: an LLC formed May 15 is due May 1 every year. You can file up to 120 days early, and the state sends courtesy email reminders 60, 30 and 10 days before.

Paying online through WyoBiz adds a credit card processing fee of 2.4% (minimum $1) of the filing fee. On a $60 report, that works out to $1.44.

The LLC is deemed delinquent on the second day of the month after the due date. If the report still isn't filed within 60 days after the due date, the state administratively dissolves it. Per the SOS reinstatement form, coming back within two years means filing each missed annual report, paying each missed fee, plus a $100 reinstatement fee.

Here are Wyoming LLC taxes and filings in one table:

Bill Who sets it Amount When
Annual report license tax Wyoming SOS $60, or $.0002 x Wyoming assets if greater 1st day of anniversary month
Online card fee WyoBiz 2.4% of the fee (min. $1) When you pay online
Form 5472 + pro forma 1120 (foreign-owned single-member LLC) IRS A filing, not a tax; $25,000 penalty if not filed April 15 (calendar year)
Reinstatement (only if dissolved) Wyoming SOS $100 + each missed report and fee Within two years

What the IRS sees: federal taxes on a Wyoming LLC

Most of the effort in Wyoming LLC taxes is federal, and it starts with classification. A single-member LLC is a disregarded entity by default (Regulations 301.7701-2 and -3). Form 8832 is how you elect a different classification. Whether an election makes sense for you is a question for a tax professional.

The EIN is free. Per the IRS EIN page: "You never have to pay a fee for an EIN." The online application needs an SSN or ITIN and can't be used when the principal place of business is outside the US; apply by phone, fax or mail instead.

If the single owner is a foreign person, the IRS Instructions for Form 5472 call the LLC a "foreign-owned U.S. DE." It has no income tax return requirement. It must still file a pro forma Form 1120 with Form 5472 attached, by April 15 for a calendar-year company:

  • Write "Foreign-owned U.S. DE" across the top of the Form 1120.
  • It can't be e-filed. Fax it to 855-887-7737 or mail it to the IRS in Ogden, UT.
  • Need more time? File Form 7004 by the regular due date, by fax or mail the same way.

The part people miss: "no income" doesn't mean "nothing to file." The instructions count amounts paid or received in connection with forming the entity, plus contributions to and distributions from it, as reportable transactions. Putting money into the LLC or taking money out can trigger the filing in a year with zero sales.

Skipping it carries a $25,000 penalty for failure to file. Another $25,000 is added for each 30-day period the failure continues more than 90 days after the IRS notifies you.

Forms clients and platforms ask for

Clients and payment platforms may ask for a W-form before paying the LLC. Per the IRS Instructions for Form W-8BEN-E, when a disregarded entity has a single owner who is a foreign person, that owner provides Form W-8BEN or Form W-8BEN-E, as appropriate. Ask your accountant which form fits you.

What this page can't answer about Wyoming LLC tax

This page is general information from the official sources, not tax advice. Low Wyoming LLC taxes don't switch off federal rules or your home country's rules. Three questions depend on your own facts, and a tax professional should answer them:

  • Does any of the LLC's income count as effectively connected income in the US?
  • How does your home country tax what the LLC earns?
  • Does a tax treaty change either answer?

Where a formation service fits

A formation service doesn't change your Wyoming LLC taxes. It changes who keeps track of the dates above.

CORPBOLT forms Wyoming LLCs from $349, or $599 with your EIN included, and the $100 state filing fee is part of every plan. Every CORPBOLT plan includes the registered agent and the yearly Wyoming annual report with the state fee paid, which is the license-tax bill from the table. For owners outside the US, CORPBOLT offers Form 5472 + 1120 filing, and it comes included on the Concierge plan.

If that fits, see current plans and prices at corpbolt.com (referral link).

Wyoming LLC taxes: quick answers

Does Wyoming tax LLC income?

No. Per wyo.gov, Wyoming has no individual or corporate income tax, so at the state level Wyoming LLC taxes come down to the annual license tax.

What is the annual license tax based on?

The company's assets located and employed in Wyoming: $60 or $.0002 per dollar of those assets, whichever is greater, per the Wyoming SOS fee schedule. Under $300,000 of Wyoming assets, the bill is $60.

Do I pay anything if the LLC made no money?

Yes. The license tax is based on assets, not income, so the $60 minimum is still due with each annual report. A foreign-owned single-member LLC may also owe the IRS a Form 5472 if money went in or came out.

Does a foreign owner file anything with the IRS?

With one foreign owner and any reportable transactions, yes: Form 5472 plus a pro forma Form 1120, by April 15 for a calendar year.
